Dubai Silicon Oasis (DSO) Approved Auditors and Liquidators

Dawn Consultancy, part of Aabi Chartered Accountants, is registered with the Dubai Silicon Oasis Authority (DSOA) as an approved auditor and liquidator. DSO is a technology-focused free zone that now operates under the Dubai Integrated Economic Zones Authority (DIEZ), alongside DAFZA and Dubai CommerCity. We audit DSO free zone companies, branches and Dubai Technology Entrepreneur Campus (Dtec) businesses, and act as liquidator when a DSO licence is closed.

DSO audit requirements

DSO companies must have their financial statements audited annually by a firm on the authority’s approved list and submit the audit report to DSOA as part of licence renewal. Reports from auditors not registered with DSOA are rejected. Audits follow International Standards on Auditing; financial statements are prepared under IFRS or IFRS for SMEs.

For UAE Corporate Tax, a DSO company that wants to be treated as a Qualifying Free Zone Person (0% on qualifying income) must hold audited financial statements irrespective of revenue. Technology companies with mainland customers should note that revenue from mainland UAE clients is generally not qualifying income; we assess this when planning the audit and tax return together.

Our DSO services

  • Annual statutory audit and submission to DSOA for licence renewal
  • First-year audits for new FZEs, FZCOs, branches and Dtec licences
  • Audits supporting Qualifying Free Zone Person status and Corporate Tax filings
  • Revenue recognition and software capitalisation reviews for technology businesses under IFRS 15 and IAS 38
  • Bookkeeping, VAT returns and Corporate Tax returns
  • Economic Substance and Ultimate Beneficial Owner filings

DSO company liquidation

  1. Shareholders’ resolution to liquidate and appoint Dawn Consultancy as liquidator
  2. Liquidation application to DSOA and payment of authority fees
  3. Liquidation notice and creditor notice period
  4. Visa cancellations and closure of the establishment card and immigration file
  5. Clearances from DSOA, utilities, telecoms and the landlord; hand-back of premises
  6. Bank account closure and settlement of liabilities
  7. Final audit and liquidator’s report
  8. Licence cancellation and DSOA deregistration letter

VAT and Corporate Tax deregistration with the Federal Tax Authority is filed in parallel. A straightforward liquidation typically completes in two to three months.

Documents required

  • Trade licence, certificate of formation, memorandum and articles
  • Bank statements, general ledger and trial balance for the year
  • Prior audited financial statements
  • VAT and Corporate Tax registration certificates
  • For liquidation: shareholders’ resolution, passport copies, employee and visa list, lease agreement

Frequently asked questions

Is an audit mandatory for a Dtec licence?

Yes. Dtec licences are DSO licences and follow the same annual audit requirement.

My DSO company sells software to mainland UAE clients. Can I still claim 0% Corporate Tax?

Income from mainland customers is generally excluded from qualifying income and may affect your status if it exceeds the de minimis limit. We review this during the audit.

How long does a DSO liquidation take?

Two to three months for a company with no open visas, liabilities or tax disputes.

Are you on the DSOA approved auditors list?

Yes. Dawn Consultancy / Aabi Chartered Accountants is registered with DSOA as an approved auditor and liquidator.
